Corporate Counsel The candidate will be responsible for supporting the general corporate legal needs of a bio-pharmaceutical company. Will focus on supporting various business development initiatives, negotiating and drafting contracts with initial focus on the technical operations (i.e., manufacturing and supply), licensing, information technology, digital marketing and employment areas, and employment matters. Assist with all legal aspects of transactions of varying degrees and nature across the company, including complex commercial, financing, licensing, and merger and acquisition transactions. Lead due diligence initiatives relating to possible transactions. Draft and review as needed confidentiality agreements, engagement letters, term sheets, acquisition agreements, equity commitment letters, debt financing documents and other deal documents. Assist various departments in drafting and negotiating contracts, including manufacturing and supply arrangements, license agreements, service agreements, staffing agreements, and other vendor arrangements. Support the Associate General Counsel with employment matters, including providing advice on employee relations and risk management, drafting severance agreements and reviewing employment related forms. Juggle simultaneous deals and priorities and proactively communicate and manage expectations with multiple constituencies. Serve as a legal generalist providing day-to-day legal support across the company on a wide range of issues. Work collaboratively and responsively with a broad range of stakeholders ensuring good relationships between legal, business development, commercial, finance, human resources and operations to facilitate a team approach. Set a tone of the highest legal and ethical standards of conduct, and possess the poise to achieve highly effective working relationships throughout the Company and externally.

The candidate must have Undergraduate degree from a college or university of recognized standing. Should have Law degree with strong academic credentials and licensed in good standing to practice law in at least one state within the United States, preferably Massachusetts. 3+ years of experience focused on corporate and securities law, licensing and/or employment law with 2+ years working in a law firm is required. Combination of both in-house in a pharmaceutical company and law firm practice is ideal. Experience drafting various types of contracts, including manufacturing agreements, licensing agreements and/or service agreements is preferred. Substantive M&A and licensing experience, international experience is valuable. Experience with 34 Act filings, including 10-K, 10-Q, and proxy statements is a plus. Experience with employment related matters is helpful.
