Senior Corporate Counsel The candidate will work both individually and within cross-functional teams located primarily in Austin and in Edinburgh, UK. Will draft and negotiate commercial and IP-related contracts and provide advice in several other areas of corporate legal practice, as outlined below. Draft, negotiate, and provide advice on a broad variety of commercial agreements including research, development, services, and licensing agreements. Assist with the protection of IP in contractual and general matters. Assist in a broad range of corporate and regulatory legal matters, including governance and compliance, securities, employment, M&A, and real estate. Provide legal advice and input on significant issues material to the business and assist other legal team members with general transactional matters. Work in close partnership with other departments including HR, Accounting and Finance, Sales, Marketing, Engineering and others, to help identify and answer legal needs. Should have excellent academic credentials and 5+ years of experience as an external counsel or in-house attorney, drafting and negotiating a diverse set of commercial contracts. Should have JD degree and at least one state Bar membership. Should preferably have membership in the Texas Bar.
