Senior Corporate Counsel The candidate under the general supervision of the Vice-President & General Counsel, the Senior Corporate Counsel will provide general legal support to all Group business units and activities. Among other responsibilities, the attorney will be responsible for the management of all Alamo Group disputes and litigation matters, the development and execution of various corporate compliance objectives, and the provision of general legal counseling to internal business clients on various legal matters which may cover topics such as commercial law, contracts, intellectual property, dealer protection laws, product safety, anti-corruption, export controls, anti-trust regulation, and mergers and acquisitions. Proactively manage the handling of all products liability, employment, commercial and intellectual property litigation matters or any regulatory investigations involving group. Closely monitor and manage litigation budgets with the goal of minimizing outside counsel expense levels. Work with internal clients regarding any pre-litigation dispute matters. Support policy development, training and education of employees relating to litigation and future risk mitigation. Work with insurance brokers and carriers concerning insurance coverage questions and providing support to internal business clients regarding insurance questions and claims. Implement litigation hold procedures as required. Assist with the continuing development and oversight of group's global compliance program, including maintaining and revising policies and procedures to prevent illegal, unethical, or improper conduct. Areas of focus include anti-corruption (FCPA), export controls, import regulations, cybersecurity/privacy requirements and anti-trust regulation. Develop training programs, communications and tools to foster improved awareness of and adherence to group's global compliance program; Ensure that internal clients are aware of impending changes in regulations and laws that will affect the company's business operations and reporting obligations. Respond to alleged violations of the Code of Conduct and of any laws, rules, regulations, policies or procedures. Implement improvements to contract templates and the proper use of templates. Provide ongoing training and guiding business teams on the use of contract templates, relevant legal issues, and good contracting practices. Review contracts as required by business units, including dealer agreements, supply agreements, NDA's, consulting agreements, IT agreements, licensing and other agreements. Advise internal business clients with regard to dealer termination issues as required. Assist with due diligence efforts in connection with merger and acquisition transactions undertaken by Group. Assist with the overall management of group's patent and trademark portfolio including monitoring patent/trademark renewal requirements and potential infringement. Establish and maintaining strong working relationships with group leaders and key external stakeholders, including group company presidents.

The candidate should have Juris Doctor from an ABA accredited law school is required. Member of the bar in good standing; admission to Texas state Bar preferred. Only current Texas residents will be considered with no relocation assistance offered. Should have 5-8 years of overall experience with a focus on litigation and/or regulatory compliance. Direct experience in the practice of litigation at a nationally or regionally recognized law firm required (at least 3-5 years) or equivalent experience managing litigation in an in-house setting is needed. Products liability and in-house experience with a publicly traded company a plus. Must possess sound business and legal judgment. Should have ability to manage a large portfolio and variety of litigation matters and other projects. Must have effective supervisory management skills with the ability to oversee projects delegated to outside counsel. Must have demonstrated knowledge and understanding of global market challenges, organizational scale requirements, and the legal processes needed to support a rapidly growing public company. Should have outstanding verbal and written communication skills with the ability to interact effectively with executives and employees at all levels within the organization. Must have demonstrated ability to exhibit and model several of Group's Core Leadership Competencies: Leading Change / Change Management: Ability to drive improvement of team, division, and corporate goals and objectives through people. Ability to balance change and continually strive to improve business performance. Communication: Ability to explain, advocate, and express facts and ideas in a convincing manner, and negotiate with individuals and groups internally and externally. Business Acumen: Understands and interprets business financials and metrics, and utilizes latest business strategies. Focuses on outcomes and creates opportunities for success. Acquires and utilizes human, financial, material and information resources effectively. Ability to make timely and effective decisions and produce results through planning and the implementation and evaluation of business metrics, systems, policies, and programs; stressing accountability and continuous improvement.
