Counsel General Corporate and Compliance/Ethics Duties: Providing legal advice and services to the treasury department regarding all types of corporate financing, including corporate debt issuances (public bond offerings, Rule 144A and private placements), revolving credit and bank loan arrangements, receivables securitizations and commercial paper. Advising the treasury department on cash management, banking, insurance and other matters. SEC & NYSE reporting and compliance (advise on 33 Act offerings and 34 Act reporting requirements; assist with preparation of proxy statement and annual meeting materials; coordinate insider trading program administration and Section 16 filings). Corporate governance (preparation of board meeting materials and minutes; administration of Corporate Governance Guidelines and committee charters). Oversight, enforcement, maintenance and interpretation of the Corporate Code of Business Ethics and Conduct. Research and analyze legal sources and external developments for updates to ethics policies and law Assist with investigations related to potential ethics violations Provide guidance for the following key compliance risk areas:. Anti-corruption and anti-bribery, including the Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act. Office of Foreign Assets Control and economic sanctions laws. Anti-trust and competition law.

Qualifications: JD degree from a law school accredited by the American Bar Association. Admission to the Bar of the State of Texas or other appropriate jurisdiction. 3+ years of legal experience with corporate matters. Preferred: Working knowledge and experience providing legal advice and services in connection with corporate financings commonly undertaken by a large international company. Working knowledge of securities laws. Working knowledge of relevant SEC and NYSE requirements. Knowledge of ethics and compliance processes and industry practices. Ability to exercise judgment and discretion regarding confidential and sensitive matters. Excellent negotiation, presentation, collaboration and diplomacy skills. Mature judgment and discretion. Ability to manage and prioritize assignments which may be broad in scope and complexity and which involve collaborative work with employees in different departments and/or with varying degrees of seniority. Excellent written and oral communication skills. Ability to work well under pressure, meet deadlines and function independently without extensive supervision. Ability to learn quickly and apply company policies, procedures, operations and industry practices. Ability to easily and effectively communicate with Legal management and internal business clients. Ability to work within broadly defined objectives. Strong individual initiative, discipline and commitment to superior performance and continuous improvement. Delivers results through realistic planning to accomplish goals. Listens actively and invites dialogue for shared understanding, then influences and acts to drive performance and achieve results. Builds strong relationships based on trust and seeks collaboration across organizational boundaries to achieve goals.
