Corporate Vice President, Assistant General Counsel, Annuities and Variable Life Products Group Duties: Provide legal counsel to Life & Long Term Care, Advanced Markets Network and Retail Annuities for variable universal life insurance, bank-owned life insurance ( BOLI ), corporate-owned life insurance ( COLI ) and variable annuity product development (e.g., reviewing design documents and policy forms, negotiating participation agreements, negotiating intracompany agreements, preparing/amending separate account plans of operations, drafting prospectuses and filing registration statements and related correspondence with the SEC). Provide legal counsel to Life & Long Term Care, Advanced Markets Network, Retail Annuities, Corporate Compliance, Office of Governmental Affairs, Corporate Financial Department and Service for existing variable product (including COLI and BOLI) administration (e.g., sales material, service issues, regulatory developments, financial statement disclosure issues, policy owner complaints, product enhancements, and annual and semi-annual reports). Revise and maintain registration statements and prospectuses for existing variable products (e.g., prepare and file prospectus supplements and annual updates to the variable universal life, COLI and variable annuity prospectuses). Advise on structuring private placement VUL, including negotiation of hedge fund offerings, including preparation of offering documents for the same. Provide advice with respect to regulatory developments (state or federal) that could impact variable universal life, COLI, BOLI and variable or fixed annuity products, including participation in industry group discussions. Qualifications: JD Degree. Admitted to the New York Bar. 3+ years relevant experience in law firm and/or corporate law department. Demonstrated expertise in variable universal life, variable annuity, and fixed products is preferred. Strong oral communication, writing and client facing skills.
