Deputy General Counsel-Corporate Responsibilities: Personally represent or direct the representation of directly in judicial proceedings, regulatory hearings, negotiations, acquisitions/mergers and similar venues. Effectively manage internal legal staff and external attorneys/law firms employed by the corporation. Ensure that interests are efficiently served by the best legal representation and counsel available Assist the Officers or, upon request, their staff, to understand the legal effects of their administrative actions and to provide information about legal developments of interest to particular staff. Provides legal counsel and guidance regarding legal matters related to day to day business operations, including governmental regulations, legislative, insurance, litigation, and contractual agreements to mitigate company liability in the course of conducting business operations and/or to enhance its position depending upon the circumstances. Complete special assignments at the request of the Chief Executive Officer and/or Board of Directors. Participates in the development of the structure of and in the negotiation of major contracts. Drafts and reviews response letters to regulatory agencies regarding complaints. Conduct and oversee research into a variety of legal issues in field of expertise. Provide analysis of legal and policy issues. Write, edit, and finalize reports, opinions, policy, correspondence, articles, and other documents; advise Board, Officers and staff about legal issues in specialty areas Travel to all work locations and travel to all board meetings as necessary to perform function.

Qualifications: Minimum of JD degree Broad-based understanding of commercial transactions and current federal, state and international regulatory requirements affecting areas of responsibility. 10-15 years legal with several years ?¢ experience both in top tier law firm and corporate law department. Broad commercial legal experience required, with particular focus in commercial transactions (including real estate) and environmental regulation. Demonstrated experience in the ability to manage internal and external counsel effectively Knowledge of Company operations ?? understanding how business and organizations work. Understand the cultures of organizations and the origin and reasoning behind key policies, practices, and procedures. Must be able to advise management on full range of strategic business and legal issues impacting the division, including complex commercial transactions (e.g., acquisitions) and real estate Knows how to get things done both through formal channels and the informal network and has the ability to manage and resolve commercial disputes. Ability to draft, negotiate and facilitate wide range of commercial transactions, including: complex commercial agreements, purchase and supply agreements, sales and distribution agreements, real estate leases, intellectual property licenses, etc.
