Senior Corporate Counsel Duties: Lead the drafting, review, and negotiation of term sheets and long-form agreements with strategic partners and large enterprise customers; paper agreements, play an active role in shaping business terms as we establish precedents for future deals. Manage the day-to-day workflow for contracts such as NDAs, vendor agreements, and sales contracts/purchase orders; we have a small team that supports this function and we want a manager who can ensure that we are managing risk appropriately, efficiently processing the workflow, and developing best practices that will allow us to scale. Work with the General Counsel, senior leadership team, and our parent company on evaluating potential acquisitions, investments, and strategic transactions, conducting due diligence, and developing deal terms and agreements. Provide a range of legal advice to stakeholders at the company on a variety of issues. Qualifications: Admitted to the New York bar or eligible to register as Authorized House Counsel in New York. 6-10 years of law firm practice in capital markets/corporate finance, M&A, IP, Privacy or other similar area. Proven ability to demonstrate sound legal and business judgment. Command of law in your practice areas and are able to quickly digest and master new areas of the law. Excellent communications skills, both written and verbal, including strong presentation skills. Taken on projects that are not specifically assigned but need to get done. Experience managing a team. Effectively driven change in an organization. Prior in-house experience a plus. Experience representing Internet companies, particularly those with SaaS business models, a plus.
