Senior Corporate Counsel, Securities The candidate will reporting to the General Counsel, the successful candidate will be a significant contributor to firm s global business objectives, playing a lead role in SEC registration and ongoing compliance, corporate governance, and corporate transactions. He/she will work closely with the C-suite executive team, business leadership, the legal, finance, and business development departments, and outside counsel to further the Company s ambitious agenda. This position offers exposure and involvement in a wide range of practice areas relevant to a high-growth, fast moving private company considering a potential future IPO. Leveraging prior pharmaceutical/biotech industry experience along with public company and large law firm experience, the successful candidate will assume a key role working collaboratively across the Company to enhance its reporting capabilities and deliver a new generation of transformative medicines for patients. Support timely satisfaction of SEC and stock exchange compliance and reporting obligations, including registration statements, 10-Qs/Ks, 8-Ks, and Section 16 filings, proxy statement, and annual meeting process. Assist General Counsel with all corporate secretarial duties including preparation of Board materials, charters, minutes and other required matters. Partner with Investor Relations and Marketing groups to review external communications, including corporate web site, earnings announcements and investor presentations. Support global strategic investment activities from start to finish, including due diligence, drafting and negotiation of definitive documentation, coordinating of closing, and post-closing integration matters. Provide legal support on corporate finance matters, including debt and equity offerings. Provide legal advice and support in a wide array of practice areas and special projects as needed.

The candidate should have 10+ years experience with heavy focus on public company biotech or pharmaceutical securities law, M&A and corporate governance. 3+ years of experience in the securities practice of a strong law firm required; a combination of both law firm and in-house public company experience is ideal. Must have Bachelor's degree and JD from an accredited law school; active membership in at least one state Bar. Must have detailed understanding of applicable securities laws; significant experience advising clients regarding compliance and coordinating 34 Act filings. Recent experience with the public offering process is desirable. Must have excellent written and oral communication skills with strong attention to detail. Must have strong interest in exposure to and professional development in other practice areas relevant to a publicly traded company. Knowledge of equity based compensation structures and systems is very helpful.
