Corporate Attorney The candidate will assist Legal Department in assuring that the legal needs of the Company are met, including to providing legal advice, negotiation, document preparation, and strategy for a wide range of business transactions. Structure, draft, review, and negotiate Company form agreements and amendments, customer sales agreements, vendor contracts (volume purchase agreements and commercial carrier arrangements), lease agreements, indirect sales channel agreements, technology licensing (software licensing and maintenance), and other commercial arrangements. Handle state and federal procurement matters, including legal advice regarding Requests for Proposals (RFPs). Legal support for handling customer complaints, billing disputes, regulatory compliance, due diligence (document review, disclosure schedules, etc.), and other matters. Provide legal advice and support for marketing activities including response to requests for proposals, trademark matters (licensing, registrations and compliance) and e-commerce activities. Provide legal advice to senior management and/or internal employees regarding various Company issues and perform legal research, as needed. Work closely with other Company departments to support their needs and to standardize types of contracts and processes when desired. Develop, create and implement legal policies and procedures related to the Company s business activities and compliance requirements. Responsible for representing the Company regarding a wide variety of legal matters, which may vary over time as needed. Provide support to the Legal Department in other areas as assigned. The candidate should have Juris Doctor degree and member in good standing with Colorado, Oregon, and/or Washington Bar. Should have demonstrated legal experience (minimum 4 years) specifically focusing on commercial and business transactions; experience within the telecommunications industry or other regulated industry preferred. Must have strong interpersonal and team skills. Strong negotiation abilities are needed. Experience using spreadsheets and Microsoft Office programs is desired.
