Associate Corporate Counsel The candidate will advise both the Specialty Brand Business and the Generics Business units on legal issues, risk management issues and business issues as needed. Structure, draft and negotiate complex transactional agreements with public and private payers, group purchasing organizations, distributors, pharmacies, wholesalers, third party logistics providers, commercial sales organizations, marketing firms, and similar commercial vendors, counterparties and customers involved in the sales, marketing and delivery of specialty brand pharmaceutical products. Assist with compliance matters related to the Brand Specialty Business, including compliance with Medicare Part B ASP reporting, Medicaid Rebate Program Best Price/AMP reporting; 340B/PHS Drug Pricing Compliance, Sunshine Act compliance, and related matters. Assist with regulatory matters as required. Work with outside counsel to oversee litigation matters. Review and revise company policies and procedures as required to bring them into conformance with applicable law and industry best practices. Review and revise company contract templates as required. Support the VP, Legal Affairs in other miscellaneous corporate law projects. Manage internal team members and constituents and outside advisors, including active management of outside counsel.
The candidate must have JD degree from an ABA-accredited law school with strong academic credentials. BA/BS from accredited institution, STEM degree is preferred. Should have 4-6 years of law firm and/or in-house corporate law experience (experience representing a brand pharmaceutical or biotech client preferred, big pharma experience a strong plus,). Member of one State Bar is needed. Strong knowledge and understanding of healthcare laws and regulations, including Affordable Care Act, Medicare regulations, Sunshine Act, Anti-bribery laws, Anti-kickback laws, FCPA, etc is must. Strong knowledge and understanding of the pharmaceutical industry, particularly as it relates to commercial operations is desired.
