Senior Corporate Counsel

Senior Corporate Counsel The candidate will be responsible for overseeing the commercial transactions for two subsegments of the company. Will provide strategic legal / compliance leadership to business units executive team in order to support the goals and objectives and to ensure adherence to corporate and legislative requirements. Provide complex strategic legal and compliance services with a major focus on drafting and negotiating complex manufacturing and design/development agreements and providing general business advice. Develop strategy and independently manage major and complex or sensitive projects, legal problems (e.g., customer disputes), or issues with minimal supervision or guidance. Oversee outside counsel when they are brought in to assist, taking the lead to develop the strategy and tactics. Anticipate and identify legal risks and issues raised in contractual pursuits and on-going programs and develop risk mitigation strategies, as appropriate. Apprise company executives of legal and risk management issues and propose appropriate strategies Solicit input from other attorneys within the corporation. Represent company's interests and interface directly with customers' counsel and negotiating teams. Provide strategic advice on regulatory, privacy, antitrust and advertising/promotional matters. Conduct training for the business development team. Maintain expertise on relevant legal developments affecting the business, and incorporate the information into the company's transactional practices. Manage internal client relationships and assist in the resolution of competing interests. The candidate must have 10+ years experience as licensed attorney with 3+ years working in commercial transactions. Should have demonstrable expertise in drafting and negotiating commercial contracts. Prior experience with outsourcing and design agreements is preferred. Significant client contact at all levels (management and operational) is needed. Experience with large and mid-size law firms as well as in-house is desired.
