Corporate Counsel The candidate will be drafting, reviewing, and negotiating contracts including EPFC, construction, government contracts, consortium, distribution, employment, severance, lease, independent consultant, intercompany, services, non-disclosure, master services, agency, staffing, freight forwarding, and joint venture. Drafting reviewing and negotiating subcontracts, purchase order terms and conditions, letters of intent, settlement agreements, notices of default, and memoranda of understanding. Advising Company management on legal issues and strategies on corporate matters, including corporate governance, the creation and implementation of policies and procedures, and the need for or likelihood of litigation. Advising on international commercial transactions and/or the creation of foreign entities throughout Latin America, Asia, the Middle East, Europe, and Canada. Advising on on-shore and off-shore contracts and transactions, and cross-border transactions, including preliminary tax issues. Identifying, approving and managing domestic and international outside counsel, including litigation, intellectual property, corporate, immigration, and labor and employment counsel. Liaising with outside counsel to manage litigation deadlines and assisting with discovery. Reviewing and revising petitions, complaints, answers, motions, and other pleadings. Reviewing and responding to subpoenas and garnishments orders. Advising on labor and employment matters, reviewing employee handbooks, providing legal guidance on internal investigations, unemployment claims, workers compensation claims, regulatory matters, and preliminary immigration matters such as U.S. Visas, foreign Visas, and permanent residency. Providing additional legal services as required including, contractor licensing applications, real estate due diligence and purchases. Must have Juris Doctor (JD) degree from an accredited US law school. Admitted and in good standing with an appropriate state bar required. Must be licensed to practice law in TX, or willing and eligible to be admitted in Texas. Should have 7+ years of legal experience, in-house Counsel preferred. Must have experience and understanding of the legal, political and economic drivers in Latin American and the Caribbean regions. Bilingual in Spanish and English is preferred. Experience working with Lexis Nexis Software is a plus.
