Senior Counsel - Tv/ Media Production And Corporate Transactions

Senior Counsel - TV/ Media Production and Corporate Transactions The candidate will work in variety of practice areas unique to a global nonprofit educational media organization including television and media development, production and distribution, a full range of ancillary rights (content licensing, location based entertainment, digital distribution), joint ventures, philanthropy and social impact. Will be responsible for structuring, drafting and negotiating various documents including license agreements, joint venture agreements, grant agreements, production and distribution agreements, talent agreements, collective bargaining agreements (SAG-AFTRA, WGA, DGA, AFM, IATSE, USA) and vendor agreements. Working with production team on music and clearance issues. Advising internal clients on wide-ranging legal matters. The candidate should have a JD degree. Admission to the Bar required. Must be in good standing, and if not admitted in New York, must be willing to register as in-house counsel in New York. 7-10 years relevant experience practicing transactional corporate law, including experience in a competitive law firm environment. Substantial transactional experience structuring, drafting and negotiating complex commercial contracts with multiple stakeholders in relevant practice areas. Substantial experience advising clients on day-to-day legal and contractual issues. Experience with industry norms and practices in relevant practice areas: Transactions for television and media production and distribution; Media-based joint ventures including international joint ventures; Ancillary rights for media properties including content licensing, location based entertainment, digital distribution, and operating and managing social media accounts and web sites; Transactions and collaborations to support the implementation of international mission-based projects; Legal issues related to nonprofits, public charities and fundraising; Proficiency in office technology including Microsoft Office 365.
