Associate Director, Corporate Counsel

Associate Director, Corporate Counsel The candidate will provide support to the Commercial, Information Technology, Corporate Communications & Citizenship, HR, Finance, and Real Estate/Facilities teams. Will be responsible for drafting, negotiating and advising on a wide array of contracts and for providing those teams with related advice and counsel. Draft, review and negotiate business agreements, including those involving business services, software licenses, software as a service, cloud applications, sponsorships, consulting arrangements, confidentiality agreements, data access, real estate purchases, leases and property management. Advise on the interpretation of agreement provisions and on contractual disputes. Train client groups on contracts issues and policies. Enhance contract management tools, including template and playbook development. Collaborate with other legal functions (e.g., Intellectual Property, Pharmaceutical Legal Operations, Compliance, Employment Law, Dispute Resolution and Strategic Transactions & Licensing) and with the Strategic Sourcing and Procurement Department. The candidate should have a BA/BS and JD with excellent law school credentials. Licensed to practice law in New York or be eligible for licensure as a registered in-house counsel is preferred. 5 to 10 years of legal experience at a law firm and/or in-house, including biotech/pharmaceutical and/or health care experience. Strong knowledge of contracts and related law. High level of business acumen. Must have outstanding drafting and negotiation skills and relevant experience handling life sciences and general business transactions and in effectively and collaboratively counseling clients. Excellent contract drafting and negotiation skills. Exceptional oral and written communication skills. Strong interpersonal and conflict resolution skills. Ability to work independently, while meeting aggressive deadlines and juggling multiple matters. Ability to maintain an independent and objective perspective while developing and maintaining a strong partnership with client organizations. Ability to work effectively and professionally with colleagues and clients at all levels of the organization and in a collaborative, team-oriented environment.
