Counsel, Corporate Legal Affairs 42757BR Legal & Business Affairs Staff Responsibilities Role Purpose Transactional lawyer with an emphasis on technology transactions for NBCUniversal Corporate Legal Affairs team. Draft, review, and negotiate a wide variety of transactional agreements with an emphasis on internet, new media, software and related technology licenses for NBCUniversal s corporate divisions such as procurement, HR, finance, corporate communications etc. Agreements may include license agreements for SaaS solutions and hosted services, software and technology license agreements, agreements for the purchasing and licensing of data, content and hardware, consulting and other services agreements, and a variety of other operational agreements Counsel clients on risks associated with engaging in a variety of activities and transactions. Advise clients regarding contractual rights and duties, matters of contract interpretation and pre-litigation dispute resolution Coordinate with Intellectual Property team on intellectual property usage and clearance issues Coordinate with Privacy and Information Security teams to ensure personal data and confidential information is collected, used and secured in accordance with company requirements collection, use and security of personal data and information Provide guidance on development of websites and mobile apps; manage mobile terms of service and counsel clients on their use Manage a high volume of renewals, terminations and amendments for various contracts. Qualifications/Requirements Basic Qualifications Law degree and member of a state bar in good standing Minimum 5+ years related experience at law firm or comparable in-house position.
