Corporate Counsel Accountabilities: Provide clear and concise legal counsel as a business partner on the full range of employment law issues, including hiring, employee relations, terminations, performance management, benefits, compliance, investigations, etc. Provide advice on new regulations pertaining to employment law. Conduct relevant employee training on HR policies and procedures. Investigate and respond to demand letters and other employment-related complaints. Proactively manage outside counsel regarding litigation matter. Ability to manage all types of claims made against BorgWarner, whether pre-filing, in litigation or arbitration. Types of claims will include but not be limited to commercial contracts, warranty disputes, personal injury matters, environmental, insurance and anti-trust, Familiarity with NHTSA is beneficial. Provide analysis and counsel on legal and policy issues to include: mergers & acquisitions, commercial agreements, protecting intellectual property, nondisclosure agreements, outsourcing and other business agreements. Assist in implementation of the Company s compliance and training programs, including FCPA anti-bribery and competition law. Develop and recommend company policy and position on legal issues. Supervise and assist outside counsel to represent the Company or its officials in various legal proceedings throughout the world. Write, review, and edit reports, opinions, correspondence, articles, and other documents. Draft and administer complex vendor, client, and employment contracts. Develop and recommend operating policy and procedural improvements. Ability to operate in a global marketplace. Other duties as assigned.

The candidate should have 5+ years of experience of broad commercial experience in a corporate law department and a private law firm desired. Knowledge of the global automotive industry is preferred. Completion of a legal degree from an accredited law school. Requires an international or global perspective. Requires license to practice law in United States. Self-starter who is capable of independent function, yet works well in a team atmosphere. Strong interpersonal and communication skills. Ability to speak German, Spanish, Portuguese or Mandarin a plus but not required.
