Corporate Attorney The candidate will report to the Associate General Counsel and also support the General Counsel directly. Draft, review and negotiate commercial contracts, 3rd party vendor agreements, service agreements, consulting agreements, material transfer agreements, clinical and pre-clinical research agreements and other contracts. Support business development related transactions including review of term sheets, diligence activities, drafting transaction documents and supporting alliance management. Support legal team with management of securities, corporate governance and public company legal matters, including drafting and/or reviewing SEC filings. Assist with board of director and committee meetings preparations, including drafting and reviewing resolutions, materials and correspondence. Serve as a member of the legal team supporting the human resources function. Review business materials and practices to ensure compliance with applicable laws and regulations. Assist IT with compliance with data protection regulations. Develop, implement, review and interpret company policies as needed. Assist with initiatives to strengthen the legal department and business operations through systems improvements and the preparation, implementation and refinement of forms, processes, and procedures. Work closely with and manage outside counsel as needed. Support Associate General Counsel and General Counsel with general legal matters. Should have 5+ years experience as a practicing attorney, with at least 3 years experience advising the pharmaceutical/biotech industry. Must have significant legal experience drafting, reviewing and negotiating complicated life sciences, securities and commercial contracts. Experience dealing with the rules and regulations applicable to healthcare companies, including FDA, HIPAA, and data security matters, telemedicine, and fraud and abuse. Experience with clinical trial agreements and regulatory requirements for global clinical trials is preferred. Working knowledge/experience with GLP, GCP, GMP a plus. Must have BA/BS degree. Should have JD and licensed to practice law in the United States.
