Corporate Counsel RESPONSIBILITIES: Researches and advises management on corporate governance and securities matters. Assists with preparing SEC filings. Coordinates subsidiary management. Analyzes and provides advice on treasury, tax and executive compensation & benefits matters. Identifies and manages risks to the business, and serves as trusted advisor and business partner providing advice on a broad range of legal and strategic matters. Provide legal support and counsel to finance and treasury functions that may include banking and credit agreements, bond indentures, inter-company cash management and other finance matters; negotiate, draft, review and advise on related documentation. Prepare, review and advise on public disclosures, including Forms 10-K, 10-Q and 8-K, proxy statements, press releases and investor presentations. Manage corporate compliance with SEC, NYSE and other legal requirements, including Section 16 matters, NYSE Listed Company Manual compliance requirements and insider trading policy. Research and advise on emerging public company corporate governance and disclosure trends and issues, including ESG matters and shareholder engagement. Assist with preparation of materials for Board of Directors. Advise on and assist with management of Polariss 70 subsidiaries. Assist with capital markets transactions. Executive Compensation and Benefits. Provide legal advice to management, Board of Directors and Compensation Committee on executive compensation and employee benefits matters, including:. ERISA compliance. Executive compensation disclosures in SEC filings and SEC-filed ownership reports. Performance-based incentive arrangements. Shareholder stock plan design and administration. Severance and change-in-control agreements. Compensation Committee governance, deliberations and actions. Track director and officer stock holdings and assist with compliance with ownership and retention guidelines. Ensure accurate reporting and reimbursement of CEO usage of corporate travel and entertainment expenses. Draft plan amendments and maintain legal compliance with regard to the companys benefits plans and non-qualified deferred compensation and savings plans. Manage outside counsel providing assistance with foregoing matters. Support M&A transactions as needed.

Qualifications: JD Degree from an accredited law school. Active license to practice in Minnesota. 5+ years of experience related experience practicing attorney corporate governance, securities, and/or executive compensation/ERISA at a law firm and/or public corporation. Demonstrates managerial and leadership courage with a poised, credible, and confident demeanor that reassures others and commands respect; convey an image that is consistent with the organizations vision and values. High emotional intelligence that shows emotional strength and maturity. Strong organizational skills, ability to juggle multiple priorities & meet short deadlines, and work in a very fast-paced environment. Strategic and innovative thinker - Ability to develop a clear vision and strategy consistent with the Polariss mission and best practices. Able to effectively manage projects and make quick, innovative decisions to resolve problems; results oriented and able to roll-up sleeves in order to accomplish necessary tasks. Ability to master new areas of legal subject matter.
