Associate Corporate Counsel

Associate Corporate Counsel The Candidate will be responsible for drafting, reviewing and negotiating customer and vendor contracts. Customer contract experience must include SAAS, distribution, reseller and software licensing contracts. Contracts review tasks include: Properly identifying the correct legal entity and the correct signatories to contracts. Reviewing business and legal provisions within the agreement to ensure they conform to the agreed terms. Drafting and revising contracts to conform to Company standards and legal department policies. Experience in complex financing matters and in M&A is required, including in managing and conducting due diligence. Working closely with Human Resources on employment matters including employment agreements, separation agreements, consulting agreements and separation disputes. Governance - formations, dissolutions, resolutions and minutes, annual reports and coordination with Tax Department in tax filings. Work with foreign counsel to manage these matters for foreign subsidiaries. Support the tax and finance departments on various projects, including the annual audit. Assist in managing litigation matters. Compliance experience in privacy, sanctions and export controls would be a plus. Work on various assignments and projects as needed. The candidate should have prior contracts review and negotiation experience is preferred. Juris Doctor from ABA accredited law school and admission to the Massachusetts Bar is strongly preferred. Experience in a law firm, legal department, software or high-tech company is preferred, but not required. Excellent academic credentials. Sales experience (dealing with customers).Strong organization skills and attention to detail. Quick learner, with the eagerness to grow and become independent. Excellent oral and written communication skills.
