Senior Director, Corporate Counsel

Senior Director, Corporate Counsel Duties: In consultation with Legal Leadership, advises the Firm concerning transactions of business involving internal affairs, stockholders, directors and officers. Prepares and negotiates term sheets and definitive acquisition documentation, including tax matters. Supports corporate equity governance and incentive plan initiatives, such as preparing share transaction documentation, or maintain stock records. Assists in the negotiation and structuring of senior credit facilities, including appropriate loan covenants. Oversees the process to update, maintain and interpret company governing documents. Leads corporate entity formation and governance globally, and compliance with filing requirements. Maintains board and shareholder and Committee minutes. Supports required COSO and audit controls framework. Maintains comprehensive database of alliance and acquisition prospects, and data sites. Researches and performs preliminary due diligence on prospects. Reviews client engagement agreements and related documents (e.g., confidentiality agreements and nondisclosure agreements). Meets KPIs established for the Legal Department. As needed, reviews material contracts. Drafts and reviews select Firm policies and procedures. Provides legal expertise to other departments where needed. Interprets laws, rulings, and regulations for the Firm. Plans and directs various aspects of the organizations legal affairs and ensures maximum protection of its legal rights. Assists in managing the Firms relationship with its outside risk management professionals. Reviews outside legal counsel invoices. Tracks and monitors outside legal expenses, and maintains budget accountability. Assists with other projects as needed, and performs other duties as assigned.

Qualifications: JD Degree from an accredited law school and 12+ years related experience in a similar environment. License to practice law in the State of Texas required. Membership to the American Bar Association and Association of Corporate Counsel preferred. 7 years of management experience is required. M&A experience and equity management is required. Public company experience preferred. COSO framework (audit and controls) familiarity is preferred. Should have intermediate skills in Microsoft Word, Excel, PowerPoint, Access, Outlook, and Internet navigation and research.
