Corporate Counsel II RESPONSIBILITIES: The candidate will primarily negotiate, prepare and finalize commercial agreements with both clients and third-party vendors, and also assist with related operational and regulatory legal compliance issues. Reviewing, drafting and negotiating various standard and non-standard contracts and related documents in support of business needs and initiatives, including client service agreements (letters of engagement, master services agreements and client-furnished documents), NDAs, vendor agreements, referral and business development consultant agreements, marketing agreements, technology, data privacy and other agreements. Counseling business colleagues on risks, both legal and otherwise, associated with client engagements and relationships, building trust and a positive working relationship; administering D&Ps policies and procedures; maintaining contract information and other records; proactively working with business leaders to prioritize pending contract requests to efficiently advance contract workflow, flag and resolve contract issues, and maintain high internal service levels and satisfaction; providing regular reports to management regarding contract status; apprising executive management of legal, compliance and risk issues related to commercial agreements, and providing practical, responsive advice to facilitate timely resolution; working with the business product teams on development of new services, products and marketing materials to address risk, compliance and contract issues; and assisting with various legal, compliance and contracts projects, as requested.

REQUIREMENTS: JD Degree and active state Bar membership. 3+ years' corporate / transactional law experience, including extensive commercial contract negotiation experience. In-house experience preferred. Commercial contracts drafting/negotiating skills and experience, including extensive experience in working with forms of complex client contracts and procurement agreements; effectively addressing and resolving legal risk issues, including indemnification, liability limitation, privacy, data protection and information security; ability to successfully handle multiple negotiations and manage contract review pipeline, effectively prioritizing issue escalation and resolution; skill in negotiating with sophisticated counterparties to achieve timely, successful outcomes; ability to articulate and defend company positions in an effective manner, prepare clear and efficient redlines, and bring agreements to closure; and confidence and an ability to interact with senior executives on a frequent basis.
