Sr. Corporate Counsel - Securities And Transactions

Senior Corporate Counsel - Securities and Transactions The candidate will be responsible for providing expert analysis and counsel on complex corporate legal issues, including corporate governance, securities law matters, and public company matters, related transactional matters, general commercial contracts, strategic corporate transactions and agreements, international and cross-border transactions, litigation management and other specific matters as requested. Anticipate and guard against legal risks facing the company. Develop and recommend company policy and position on legal issues. Attend to SEC, NYSE and public company issues (such as 10-K s, 10-Qs and Proxy Statements). Provide legal counsel on issues relating to corporate governance.Provide analysis and counsel on legal and policy issues to include proposed new products and services, commercial transactions, financial offerings and corporate transactions such as acquisitions and divestitures, joint ventures, collaboration and licensing agreements.Assist with corporate record keeping and management of corporate minute books.Monitor and analyze changes to related laws and regulations to ensure continued company compliance. Advise senior management on changes which may affect the business.Review and negotiate commercial contracts and license agreements. Provide advice and guidance to on related compliance initiatives. Anticipate and guard against legal risks facing the company. Develop and recommend company policy and position on legal issues. Develop and recommend operating policy and procedural improvements. The candidate should have Bachelors degree (B.A. /B.S.) and Juris Doctor or equivalent from an accredited law school in the US or equivalent common law degree. A current license in the State Bar as an attorney qualified to practice law in Massachusetts. Should have 8+ years of related experience with 33 and 34 Act compliance (e.g., addressing matters/documents related to public securities offerings, and the preparation/review of 10-Ks, 10-Qs, 14As, 8-Ks, S-3s, S-8s, etc.), State corporate law and stock exchange listing compliance, mergers and acquisitions, joint ventures, minority investments, including executing against all stages of such transactions (e.g., organizing diligence, effectively negotiating transactional documentation, assisting with integration, etc.). Should have ability to inspire trust and confidence through strong interpersonal skills and effective collaboration.
