Corporate Counsel The candidate will assist with a broad range of general corporate matters, review and negotiate contracts of all types, and help facilitate document management at the Company. Will also engage in real estate matters including leases, lease options, and easements, as well as transactions related to solar projects. Will be responsible for entity formation and maintenance, contract management, as well as internal process improvements. Provide practical legal and business advice to Company personnel on commercial transactions, new business opportunities of all types, marketing, reporting, and compliance matters. Draft and negotiate commercial contracts with a broad range of counterparties including vendors, solar project developers, municipalities, capital partners, and other business organizations. Manage communications and negotiations with customers and vendors. Support real estate matters, including leases, options to lease, easements, and title issues. Contribute to the Companys development and improvement of contract templates. Support corporate governance efforts, including drafting minutes, operating agreements and consents, registering and maintaining entities, and drafting corporate policies and procedures. Aid in developing and implementing legal strategies, solutions, and preventative practices with mid- and long-term corporate impact related to compliance. Research and draft legal memoranda to provide the Company with practical advice and guidance. Design and implement process improvements, including contract management and approval procedures. Monitor and maintain current knowledge of industry trends in legal and compliance matters relating to the energy and innovative technology industries. Pursue ongoing professional development in order to maintain current knowledge on such best practices. Other job-related duties as assigned.
The candidate should have J.D. from an accredited law school with excellent academic credentials. State bar membership (MA preferred). 2 to 4 years of legal experience, with a preference for top-tier law firm and/or transferable in-house experience. Strong experience providing counsel in areas of commercial contracts and corporate transactions is required. Experience in real estate and land development, and/or renewable energy project development and finance is a plus. Excellent commercial judgment along with strong written and oral communication skills. Attention to detail and a willingness to roll up his/her sleeves in order to dive into the facts and come up with creative solutions. Ability to manage multiple projects simultaneously, meet competing deadlines, and work both independently and on teams. Familiarity and experience working with rapidly growing technology companies. Willingness to think outside of the box to provide business-oriented solutions on complex matters.
