Corporate Counsel Business Solutions Duties : Will support the national Business Solutions team with any and all legal needs it may have as it expands and grows. Regularly interact with personnel in all levels of the organization, from executive leadership to the direct sales team out in the field. Review, draft and negotiate sales contracts for a wide variety of customers. May work on sales contracts for a school district one morning, a hospital the next afternoon, and a cellular provider the following day, with a sprinkling of smaller business customers in between. Review, draft and negotiate license agreements granting access to commercial properties. Work on right-of-way agreements, joint use agreements, infrastructure swap agreements, utility easements, construction contracts or other similar facilities-related contracts. Support the development and launch of new products. Develop training materials and/or give training presentations to members of particular business units on legal topics pertinent to their areas of work. Keep abreast of regulatory changes and ensure compliance with applicable regulatory requirements. Engage and manage outside counsel when needed. Identify the need for, assist with, or take ownership of any other types of projects that arise. Other duties as assigned. Requirements : The candidate should have 8+ years of experience as in general business or commercial law, working for a wide variety of clients. Exemplary contract drafting skills are essential. Experience working directly with commercial sales teams is required. Experience successfully collaborating with and supporting senior business decision makers is required. Excellent interpersonal skills and the ability to work collaboratively in a team environment with internal and external contacts at all levels and in all facets of the organization are essential. Ability to take the initiative, act independently, identify and solve problems, make suggestions, take ownership of projects and follow through are essential. Must be a reliable, conscientious and adaptable team player, willing to help out wherever and however needed. Must manage highly confidential information with professionalism and unquestionable integrity. Familiarity with any of the following preferred: telecommunications industry, network design, cellular industry, cable television industry, right-of-way construction, commercial leasing, data centers. Experience working with governmental customers a plus. A positive attitude and a sense of humor are essential. Must have a firm commitment to providing excellent client service. J.D. from an ABA accredited law school required. Admission to at least one state bar association required; admission to CA, TX, NY, WA, MA, IL, OR or PA preferred. Should have excellent contract drafting and negotiation skills, outstanding inter-personal communications skills, a strong understanding of business principles, and an excellent sense of humour. Should have a demonstrated ability to translate legal concepts and requirements into practical guidance for business teams, thrive in an environment of rapid change and easily handle shifting priorities. Superb organizational skills, stellar analytical skills, meticulous attention to detail, and the desire and ability to take the initiative, solve problems and collaborate effectively both within the Business Solutions organization and cross-functionally across departments are required.
