Corporate Services Counsel Duties: Build close cross-functional relationships with team members, and obtain and maintain a solid knowledge of the company s business. Draft, review and negotiate a wide variety of agreements that support and enable business operations, including but not limited to domestic and international commercial contracts, confidentiality agreements, vendor contracts, including licensing, marketing, services agreements, leases, employment related agreements, and contractor agreements. Support the continuous improvement of standard form agreements and legal processes. Serve as a legal liaison to the human resources department and provide support on labor and employment matters in the U.S. and Canada, including on hiring and termination issues, compensation, benefits, compliance with employment law, immigration, and if necessary, investigations and litigation. Act as a strategic partner, helping to establish processes, implement and manage a document management system and proactively identifying and analyzing potential legal issues. Partner with the corporate development team and provide legal support for business transactions, including acquisitions, investments and partnerships. Assist on other corporate legal projects including corporate filings, employee communications and training, contract management, template creation and more.
Qualifications: JD Degree (law degree) from an accredited law school, with exceptional academic credentials. Must be a member in good standing of the New York state bar, or be eligible to become licensed as in-house counsel, and have 7 years of legal experience in related matters. In-house experience is strongly preferred. Demonstrated experience advising clients in complex employment matters and contracts. Must demonstrate an ability to grasp business and operational strategies to provide sound legal counsel in diverse matters affecting the business. Requires excellent language and writing skills and ability to drive projects and earn the confidence and cooperation of business partners. Must have strong project management, interpersonal and persuasion skills. Detail oriented and organized. Highly self-directed and proactive, with the ability to manage a high-volume practice in a dynamic, fast paced, metrics-driven environment and adapt quickly to changing priorities. Ability to uphold and demonstrate the highest level of integrity in all situations.
