Corporate Counsel The candidate will provide leadership and guidance on a full range of corporate, commercial and other legal issues, including strategic partnership agreements and key commercial contracts, regulatory compliance, intellectual property, and general corporate and securities matters. Manage virtual legal team of outside counsel and provide support for litigation, insurance, equity administration, and other functions. Work with product, engineering and marketing teams on privacy, terms of service and forms of agreements used across business. Provide strategic legal guidance to executive team on legal matters and ensure appropriate risk management. Manage relationships with lenders, including loan amendments, integrating acquisitions, and facilitating covenant compliance. Work with outside counsel to complete debt and equity financing transactions, including preferred equity investments and convertible debt; manage or execute preparation of definitive financing documents, disclosure schedules, and supporting documents. Prepare Board and shareholder minutes, consents and corporate resolutions. Should have 5 years of experience, including transactional experience at a corporate law firm. In-house experience is a plus. Must be licensed to practice in the State of Washington. Direct working experience with equity financings and commercial contract negotiation.Expert negotiation skills.Ability to demonstrate sound judgment in ambiguous situations.Excellent verbal and written communication, interpersonal and presentation skills. History of teamwork and willingness to roll up ones sleeves to get the job done. Able to prioritize appropriately, manage multiple tasks and delegate effectively. Must have the ability to collaborate with cross-functional teams to achieve business results. Experience working in fast-paced, high-volume transaction environment.
