Corporate counsel, Corporate and Securities The candidate will handle public company compliance (including disclosure filings and proxy statement), treasury work (bond offerings, share repurchases, and hedging instruments), corporate development transactions (including mergers and acquisitions, joint ventures, strategic alliances and partnerships), corporate governance (including subsidiary management), and support of the Starbucks Board of Directors. Preferred candidates will have experience with federal securities laws, including preparation of public company disclosures and filings, preparation of proxy statements and shareholder meeting materials, general corporate governance matters, and drafting and negotiation of agreements for corporate finance, mergers and acquisitions and strategic commercial transactions. Guide - Provide strategic legal counseling to leaders of corporate and securities functions, including the Board of Directors, Strategy and Corporate Development, Partner Resources Organization, Finance, Treasury, and Investor Relations, as well as the adjacent businesses and functions they collaborate with and support. Collaborate - Team with L&CA partners and business partners to provide cross-functional support for a variety of business units, including on matters of corporate governance, subsidiary management, finance and treasury matters, strategic corporate transactions and public disclosures. Support - Play a key role for the Law & Corporate Affairs team that provides legal support to these key functions, including partnering with paralegals and other department staff members. Should have 5-8 years of relevant substantive legal experience in a law firm or company legal department. J.D. from accredited law school. License to practice law in pertinent jurisdictions.
