Corporate Counsel The candidate will partner with various internal business teams to review, draft and negotiate a wide range of commercial arrangements and will work with the Deputy General Counsel and Associate General Counsel to support and advise on various corporate governance and compliance matters. We are an evolving firm seeking a strong, business-oriented corporate lawyer, and this will be a hands-on position reflective of our fast-paced growth. Role Will Entail: Managing a substantial and fluctuating commercial contract workflow (coordinating directly with both internal business partners and outside vendors and legal counsel), in a responsive and time-sensitive manner. Reviewing, drafting and negotiating commercial contracts and related arrangements, with a focus on agency, brokerage, consulting, vendor and confidentiality agreements, directly advising business partners on legal risks and recommendations. Assisting the Associate General Counsel in supporting firms M&A activity and managing corporate structure and corporate governance matters. Supporting the Deputy General Counsel with firms insurance and regulatory compliance matters. Advising on a broad range of other corporate and legal matters, particularly in the areas of corporate governance, commercial contracts and insurance and regulatory compliance. Should have J.D. from a top tier law school and admission to practice in one U.S. state (NY or MA preferred). Must have 1 to 3 years of corporate transactional experience at a top-tier national or international law firm, handling a variety of corporate and compliance matters. Exceptional negotiating, drafting and communication skills are required.
