Corporate Counsel The candidate will be an integral part of companys in-house corporate law team. Will support the legal needs of companys global operations by researching, drafting, negotiating, analyzing, training and advising on a variety of commercial and corporate legal matters. Will also liaise with team members globally to ensure compliance with legal requirements and company policies and procedures. Courage to make and encourage others to make difficult decisions. Demonstrated ability to develop and execute innovative, practical solutions to complex business/legal challenges, while taking into account strategic implications. Must have excellent research skills, both legal and other. Must have ability to exercise sound judgement and discretion in handling of proprietary and confidential information. Displays willingness to make decisions and work independently, without significant direction, and to use resources effectively to figure it out. Strong critical thinking skills, judgment and keen attention to detail and accuracy. Ability to manage implementation of complex, long-term initiatives. Exceptional prioritization, time management and organizational skills. Works within approved budget. Develops and implements cost saving measures. Conserves organizational resources. Provide sound legal advice and counseling on matters relating to: Commercial Contracts; Mergers & Acquisitions; Real Estate Transactions; Employment Issues; Corporate Governance. Review, draft and negotiate commercial contracts, including those related to sales terms and conditions, supply, confidentiality, acquisitions, intellectual property, technology and licensing, and other miscellaneous corporate and commercial arrangements. Maintain, improve upon and provide training and counsel to internal clients about the use of templates, internal policies and best practices for a variety of issues and general risk management strategies. Develop and maintain thoughtful, qualitative, long-term working relationships with internal and external stakeholders. Influence for good and challenge team members in support of the achievement of business and legal strategies. Manage relationships with external legal advisors, as appropriate. Effectively liaise with team members globally to ensure compliance with legal requirements and company policies and procedures. Maintain in-depth knowledge of new and revised rules, laws and relevant practice issues, reducing legal risks and ensuring regulatory compliance. Provide timely updates and present proposals to the General Counsel on related changes, concerns and process improvements. Positively contribute to the overall legal team conversation, goals and initiatives. Proactively participate in projects that support our overall effort to build a world-class organization. Fully support the companys compliance program. Respond appropriately to requests for information, and provide assistance to ensure timely investigation, root cause analysis, and corrective action. Foster attitudes, conditions and environments that guide team members toward excellence while acting with integrity and ethics aligned with company core values.
The candidate should have Juris Doctorate from an accredited college or university, plus a minimum of 5 years of professional experience as a practicing attorney, preferably as an in-house counsel or in a law firm. Must be member in good standing of a recognized U.S. State Bar Association (Washington state a plus). Legal experience working in a global corporate environment a plus.
