Corporate Counsel Duties: Review / work with internal business partners to negotiate acceptable commercial terms and conditions with customers (purchase orders and master agreements for the sale of products and services). Work with internal business partners to support non-disclosure agreements with third-parties. Lead business meetings, perform legal research and draft memorandums, draft a variety of legal and business forms, administers training workshops. Responsible for execution of the compliance and export control policies for the Company on a global basis. Provide trade compliance in a regulated environment, including import/export licenses, exception determination, agreements, permits, certifications, technology release determinations, and periodic self-assessments/audits and corrective actions. Ensure government compliance and regulations: Including Cage Code filings, FAR, DFAR, FTR, EAR, ITAR, U.S. economic sanctions programs, privacy law and other legal and regulatory requirements.
QUALIFICATIONS: JD Degree from an ABA accredited law school. 5+ years experience in general corporate matters with a focus on commercial contracts with 3+ years experience in export control and compliance. Knowledge of general commercial terms in purchase and sale agreements. Knowledge of ITAR, EAR, FTR, FAR, DFAR, C-TPAT, economic sanctions, experience with HTS, export classifications, FTA, Importer Security Filing and Additional Carrier Requirements (ISF) and privacy law. Experience in filing import/export licenses, agreements, permits, certifications and technology release determinations. Experience with best practices in implementing a compliance program, business process creation, creating training programs and training, implementation of automation projects. PREFERRED QUALIFICATIONS: Mastery of general commercial terms in purchase and sale agreements. Demonstrated experience supporting Sales Teams with minimal supervision. Extensive knowledge of ITAR, EAR, FTR, FAR, DFAR, C-TPAT, economic sanctions, experience with HTS, export classifications, FTA, Importer Security Filing and Additional Carrier Requirements (ISF). Extensive experience with export and imports classifications, Import/Export documentation and valuations of products. Demonstrated knowledge in providing advice, developing and implementing compliance programs such as privacy, anti-corruption and conflict minerals. CIPP certification is an advantage. Experience collaborating with engineering and other business units in assigning correct product classification and incorporating into the product development process. Experience working in a complex and sophisticated international business environment.
