LIBOR Counsel - Global Corporate Trust The candidate will be responsible for legal issues affecting Bank's Global Corporate Trust and Custody (GCTC) division when the Bank is acting in a trustee, agent or other representative capacity. Will counsel the business line and assist in negotiations related to LIBOR language in indentures, pooling and servicing agreements, agency agreements and related governing documents. Interpret SEC, OCC, and other relevant laws and regulations. Provide advice on account level and bondholder issues. Advise business line management regarding legal and risk issues related to LIBOR. Attend meetings and conference calls with internal parties, outside counsel, and industry participants related to LIBOR matters. Work with each of the GCTC business lines involved with LIBOR matters as well as with Bank's litigation department.
The candidate should have a Law degree and be licensed by and in good standing with the appropriate State Bar association or other appropriate state attorney licensing authority. Should preferably have 5+ years of experience with public finance, corporate finance, and structured finance transactions (including CLO/CDOs). Experience representing indenture trustees and agents in drafting, reviewing and negotiating indentures, pooling and servicing agreements, agency agreements and related governing documents is required. Experience with the legal and regulatory issues affecting fiduciaries and agents in the context of corporate trusteeships is desired. Background in representing financial institutions and fiduciaries is helpful. Strong public speaking skills are required.
