Corporate Counsel, LATAM Transactions The candidate will have primary responsibility for negotiating a wide variety of the company's commercial transactions, including client service agreements, supplier and vendor agreements, license agreements, non-disclosure agreements, marketing agreements, and other similar contracts. Focus primarily on LATAM transactions, primarily in Mexico and Brazil, but including other LATAM countries as needs arise. The role will have opportunities to work more broadly on a global scale outside of LATAM as needs and bandwidth allow. Will ensure that the company's commercial transactions receive appropriate Legal review, have non-standard requirements approved by other internal stakeholders as necessary, are compliant with company's policies and risk tolerances, and are negotiated consistent with the best practices of in-house commercial transactions counsel. Will also will be responsible for other legal services and advice as needed based on diverse and evolving needs. Will report formally to the Director & Managing Counsel, Transactions and functionally day-to-day to the Director & Managing Counsel, LATAM (the LATAM theater leader). Draft, review, negotiate and close a wide variety of commercial contracts with the company's clients, suppliers, strategic partners and vendors in Spanish, Portuguese and English. Work closely with business partners in Sales, Marketing, IT, Service Delivery and other organizations within company to successfully close transactions in a manner consistent with company's policies and best interests. Use business acumen and contractual expertise to guide business sponsors on important considerations and decisions relating to the business and legal requirements of the contract. Contribute to ongoing process improvement. Provide other legal services and advice to the company as needed.

The candidate should be Graduate of an accredited law school; JD or LLM from an accredited U.S. law school a plus. Must have current license to practice law in Mexico required; additional license to practice in Brazil is a plus. Should have 4 years (ideally 4 - 7 years) of relevant experience as a commercial transactions attorney in private practice, in-house, or preferably a mix of both. Strong trilingual fluency in English, Spanish and Portuguese, both written and verbal, required; fluency in any additional languages is a plus (to supplement language skills across our existing team). Must have experience and demonstrated competence in complex commercial contracting and transactions practice management, including managing heavy volume and triaging competing priorities. Ability and willingness to travel to prospect meetings throughout Mexico required; other occasional domestic and international travel required. Experience supporting a Sales team strongly preferred. Experience contracting with public sector agencies and through framework procurement models preferred. Familiarity with tech or IP industry preferred. Must have ability to perform the essential duties and responsibilities of the position, as described above and as modified from time to time based on diverse and evolving needs. Should have exceptional written and verbal communications skills. Should have excellent judgment and sound decision-making. Experience supporting an internal sales organization strongly preferred. Experience working for a US tech company preferred. Experience handling intellectual property and professional technology issues preferred. Experience working remotely from a home office a plus.
