Corporate Counsel

Corporate Counsel Duties: Lead a wide range of responsibilities on a small legal team with substantial growth potential. Will be part of the driving force leading the biopharma industry in speed and quality of clinical study design and execution. Provide counsel and leadership to the management team and senior staff on various matters, including corporate governance, public disclosure, business development, financing, contractual, litigation, risk management and a variety of other legal and business issues. Oversee compliance with SEC and NASDAQ rules and regulations, Sarbanes-Oxley Act, Regulation FD and company-wide policies - icluding responsibility for reporting requirements under the Securities Exchange Act of 1934 and the Securities Act of 1933. Assist with corporate governance and compliance with third-party obligations and advising the management team on these issues. Drafting, reviewing, and negotiating a wide variety of agreements in support of the company's research and development programs. Provide legal and strategic advice with respect to finance and business development activities and strategic external arrangements. Partner with finance function on equity plan administration and corporate insurance matters. Assist in the management of disputes and litigation matters. Advise People Team with respect to employment law issues. Manage external counsel relationships.

Qualifications: Practicing Massachusetts JD Degree with 5+ years of experience in a high-growth biopharmaceutical company and/or the life sciences practice of a nationally recognized law firm. Demonstrated expertise in corporate law, including substantial experience with SEC and NASDAQ rules and regulations, corporate governance and corporate finance. Know how to draft and negotiate research, development and commercialization agreements in the biopharmaceutical industry. Familiar with the regulatory environment relevant to the development and commercialization of biopharmaceutical products.
