Senior Assistant General Counsel- Corporate RESPONSIBILITIES: First line of response to any and all corporate legal matters - including leading legal advisory on strategic transactions, corporate finance and banking matters, subsidiary formation (including the preparation of constituent documents), corporate governance matters, and general corporate work. Advise on corporate finance and securities law matters, including preparing SEC filings such as registration statements, Forms 10-K, 10-Q, and 8-K, and Section 16 reports. You ll be involved in all aspects of the public reporting process, starting from drafting reports to preparing remarks for investor calls. Play a critical role in supporting the Board of Directors and its committees, including design, planning and execution of meetings, and preparation of agendas, materials, resolutions and minutes. Manage corporate governance and administration for HHC and its domestic subsidiaries, including managing local filings and administering corporate records. Oversee logistics for, and ensure successful execution of, annual shareholder meeting. Develop business relationships across and collaborate with the Company's legal team as well as internal business leaders and stakeholders. Assist in creating and improving processes, agreements, and document templates. Manage multiple teams of outside lawyers in an efficient manner. Periodic reporting to executives regarding key risks and matters. Assist with the negotiation and closing of property-specific mortgage financings. Collaborate with HHC's Culture & People Department to manage all aspects of HHC stock administration, including overseeing maintenance of corporate records, management of cap table, responding to shareholder requests, and supporting management of any option exercises and secondary share transfer activity. Support the General Counsel and HHC legal team on other company-related legal functions on a case-by-case basis, including without limitation, providing support on unusual commercial transactions, real estate matters and IP/trademark matters.
Qualifications: JD Degree from an accredited university. Membership in at least one state Bar. 10+ years of progressive experience with the most sophisticated and complex corporate legal matters. Experience as a partner (corporate, M&A or similar) in a large, full-service law firm is strongly preferred and/or experience as a senior corporate attorney at a major public company, with a preference for financial services/insurance experience. Experience working with and advising Boards of Directors. In-depth knowledge of U.S. securities law and corporate governance. Substantial experience with relevant corporate transactions, including mergers, acquisitions, dispositions, investments, financings, and commercial agreements. Comfort dealing with senior management, especially at the CEO and C-Suite level. Excellent organizational, interpersonal, corporate drafting and negotiation skills. Excellent oral and written communication skills, including demonstrated ability to address issues with precision, clarity and analytical rigor. Ability to manage numerous time-sensitive matters simultaneously in a fast-paced environment.
