Corporate Counsel - Litigation The candidate will be responsible for: Proactively handling a variety of legal matters that arise, through investigation to resolution. Providing practical, business-oriented legal advice to other legal team members and directly to internal clients including: commercial, human resources, information systems, manufacturing, medical affairs, security and research & development. Advising business leaders on strategies and tactics in a way that advances the company's business while addressing legal risks and protecting the company's integrity and reputation. Performing fact investigation, conducting legal research, issuing/managing litigation holds and discovery management. Proactively identifying and evaluating legal and business risks to the company. Efficiently managing outside counsel when necessary, including tactical guidance, staffing, case management, budgeting, and alignment with Vertex's broader legal strategy. Responding to subpoenas and other legal and regulatory inquiries. Developing, amending, and implementing various corporate policies. Advising on the development and implementation of proactive processes, policies and procedures to ensure the company is in compliance with global laws and regulations and is operating in a manner that best protects its legal interests. Monitoring changes to relevant laws, regulations, and enforcement priorities, and communicating actionable takeaways to appropriate audiences. Developing online and in-person training programs on legal and compliance topics. Assisting with implementation of information governance and records retention policies across business. Periodically reviewing and providing guidance on contract negotiations. Participating in cross-functional projects and initiatives. Assisting privacy counsel on a variety of matters. Assisting with annual enterprise risk management assessment. Participating in various Legal & Compliance Department projects and initiatives. Must have Law degree from a nationally recognized law school and current admission to a state bar. Should have 3-5 years experience in litigation. Strong preference for candidates with experience in life sciences, products liability, government enforcement, and employment counseling/litigation, as well as to those with in-house corporate experience in a multinational pharmaceuticals corporation. Must have familiarity with e-discovery tools and principles. Should have exceptional written, verbal and presentation communication skills.
