Corporate Counsel Responsibilities: Assist with the preparation and filing of various filings with the U.S. Securities and Exchange Commission, including Forms 10-K, 10-Q and 8-K; Section 16 filings; registration statements and proxy statements; Handle corporate governance matters, including the preparation of board and committee meeting materials; Provide counsel in the areas of capital markets transactions, including securities and debt offerings, as well as M&A and other complex commercial transactions; Assist in maintaining and assisting with administration of corporate policies and procedures to ensure continuing compliance with SEC and NYSE rules and regulations and support other internal compliance functions; and Draft and negotiate a wide array of general corporate agreements, including services agreements, non-disclosure agreements and other commercial contracts.
Qualifications: JD Degree from an ABA accredited law school and excellent academic credentials; Active license to practice law in one or more states; 5-7 years of relevant corporate law experience, with an emphasis in corporate governance and securities matters; Experience working with public company boards of directors is strongly preferred; Versatility, maturity and ability to work both independently and as part of a team; and Excellent oral and written communication skills.
