Counsel - Corporate Affairs The candidate will report to the Vice President and Associate General Counsel - Operations, Governance & SEC, and will support the business across a wide range of initiatives. Responsibilities include: Assisting with SEC reporting, including periodic filings, proxy statements, registration statements and Section 16 filings. Assisting with preparations for meetings of the Board of Directors, as well as management of corporate subsidiaries. Providing securities- and governance-related support for corporate transactions. Partnering with compensation professionals in support of equity-based compensation programs. Assisting corporate clients in public relations, investor relations, treasury, corporate development, and tax on various items. Advising business clients on a broad variety of commercial contracts related to the operation of a multichannel fashion retail business.
The candidate must have JD degree with a license to practice law in any U.S. jurisdiction. Must have 3 years experience in corporate and securities matters. Outstanding written and oral communication skills are required. Excellent research and analytical skills needed.
