Corporate Counsel - Real Estate

Corporate Counsel - Real Estate The candidate will assist with real estate and corporate transactions, develop strong partnerships with its central and regional offices and coordinate with outside legal counsel as requested. Draft real estate contracts (property management agreements, development management agreements, purchase and sale agreements, closing documents, easements, licenses, etc.). Prepare or review a variety of corporate and organizational documents (e.g., dissolutions, secretary certificates, foreign power of attorney, partnership and/or LLC agreements, promissory notes, guarantees, waivers, releases, etc.). Prepare transaction-type resolutions pertaining to purchases and sales of properties, due diligence for closings, etc. Provide advice on indemnity clauses, guarantees, and other provisions; review insurance and indemnity requirements in contracts. Manage contracts, including preparing checklists and tracking critical dates. Provide support to central departments and regional offices through the review and negotiation of vendor and other services contracts, broker listing agreements, non-disclosure agreements, etc. Should have a J.D. degree from an accredited law school; strong academic record and 4+ years of relevant legal experience. Must be licensed to practice law, preferably in the State of Texas.
