Corporate Counsel The candidate primary responsibility is taking a lead role in drafting, reviewing and negotiating a wide variety of agreements, with an emphasis in the areas of distribution, marketing, sponsorships, promotions, social media, sales analytics, consultants, procurement of raw materials and ingredients, capital equipment, trucking, warehousing, IT, and office services. Provide legal advice to company employees and management on contract risk assessment and mitigation. Partner with co-workers to assess business practicality of contracts. Develop and update standard contract forms, such as PO terms and conditions, confidentiality agreements, and the like. Help oversee management of the contracts database. Work closely with procurement, sales and marketing, and other business teams on contract negotiations. Additional Transactional Support. Provide legal support in other areas such as wholesaler and distributor transactions, and researching and advising on franchise and other laws related to new product launches, transfers of brand rights, and territory assignments. Provide legal trainings, legal research, special project and litigation support. Should have JD degree from an ABA-accredited law school, excellent academic record. Should be Member, in good standing and in active status, of at least one state bar. must have 4+ years experience with a law firm and/or in-house negotiating and drafting a variety of business agreements, preferably including procurement contracts, sponsorships and marketing services agreements. Excellent verbal and written presentation and interpersonal communication skills are required, Should be Proficient with all Microsoft Office suite and collaboration tools.
