Senior Counsel - Corporate Duties: Act as a subject matter expert on all corporate matters, including M&A, corporate governance, and employment matters, working with and helping other members of the legal team. Support M&A transactions and strategic investments, including coordination of legal due diligence, risk management, and aiding in deal negotiations and documentation with other stakeholders. Partner with corporate development, commercial leaders, finance, tax, and legal colleagues to execute all aspects of transactions. Develop and manage corporate governance processes, including necessary policies and practices and preparation of governance materials at various levels throughout the organization. Oversee the maintenance of subsidiary structure and corporate entities, including all filings and documentation in support of global subsidiaries and businesses. Serve as a partner to the Human Resources team and act as the primary point of contact on a broad range of employment issues, including hiring, terminations, benefit programs, employment policies and practices, and related matters. Effectively manage outside counsel and advisors, with a focus on cost and efficient use of company resources. Assist and be an active participant in the development and administration of compliance policies and processes. Keep informed of applicable laws and regulations and assist in the identification of risks to and potential solutions. Coordinate internally across the Legal team and the rest of the business to address M&A, corporate governance, and HR related issues, including educating and training colleagues.
Qualifications: JD Degree and active membership in at least one state Bar. Practicing lawyer with an emphasis on M&A, investments, joint ventures or other corporate transactions or related matters, either at a law firm, in an in-house role, or both. Knowledge of M&A structures, related documents and legal issues. Success handling matters of corporate governance, including with global subsidiaries and affiliates. Acts with integrity and demonstrates ethical behavior in all matters with all stakeholders. Appreciation of business sensitivities and ability to uphold the highest standards of confidentiality and discretion.
