Corporate Counsel The candidate will review, draft (from forms and from scratch) and negotiate a broad range of commercial contracts, including sales and procurement contracts, master services agreements, independent contractor agreements, statements of work, licenses, and supporting documents in support of company's business teams. Client engagement and counsel on a variety of commercial and corporate governance activities. Engage in cross-functional collaboration and decision-making across all company departments, especially Human Resources, Operations, Sales and Corporate activities. Serve as primary legal point-of-contact for the Human Resources department, including oversight of employment agreements/offer letters, performance management and involuntary exits; manage outside counsel on complex employee relations, litigation and all immigration matters. Improve and implement contract approval processes in collaboration with the Legal, Sales and Finance departments and articulate those processes to customers, vendors, and key stakeholders to ensure frictionless implementation. Partner with the business on contract negotiations to produce value-maximizing results while providing appropriate risk-management guardrails. Other duties as required.

The candidate must have J.D. degree with 4-7 years of commercial contracts and general corporate experience. Combination of major law firm training and in-house experience preferred. Must have experience with drafting and negotiating commercial contracts, including procurement and service agreements, technology-related licenses and similar documents. Must have ability to lead transactions and projects, with strong multi-tasking, analytical, interpersonal, drafting, negotiation and communication skills. Must have excellent organizational and project-management skills with the ability to balance competing priorities across the business and relentlessly drive projects to results. Experience implementing a contract lifecycle management tool a plus. Experience with Human Resources required, M&A or corporate governance and law experience a plus.
