Counsel IV - Corporate Counsel The candidate provides guidance to senior management on complex legal and regulatory matters with significant impact on business initiatives, strategy, and performance. Assesses legal risk associated with all risk types and develops strategies for reducing legal exposure. Leads analysis of and response to legal, regulatory, reputational, compliance, and policy matters within area of expertise. May serve as the primary legal contact for assigned clients. Collaborates within the department and across business and staff functions to address legal and risk issues in a manner consistent with the best interests of company. Takes an active role in the development of more junior staff. May lead initiatives of varying scope and complexity.

The candidate must have 8+ years of experience as a practicing attorney OR 6+ years of experience as a practicing attorney and 2+ years of legal-related experience in one or a combination of the following areas: risk, compliance, contracts, government, regulatory, financial services, or technology. Active State Bar membership is required. Should preferably have demonstrated experience advising senior management of publicly traded companies on SEC filings and other public disclosures, corporate governance, board and shareholder items, and securities law compliance matters. Strong securities and corporate law background, including demonstrated knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and corporate governance principles for publicly traded companies desired. Familiarity with NYSE and Sarbanes-Oxley requirements and with financial services industry is an asset. Extensive experience conducting research and providing counsel and guidance regarding complex legal issues would be a plus. The ability to analyze legal and regulatory issues in area of practice and provide effective advice to clients on complex legal matters is ideal. Should preferably also be effective in building partnerships, functioning well with project teams, and working for the success of the team. Closing Date: April 22, 2021.
