Senior Corporate Counsel Responsibilities: Act as the primary legal contact for the Microsoft Advertising Global Partner Service team supporting Microsoft Advertising's most strategic partnerships, the Microsoft PromoteIQ team supporting retail partnerships, and the Business Development team responsible for driving revenue for Microsoft's Search, Ads and News (SAN) consumer solution area. Serve as a key business partner and valued legal advisor to senior level clients and colleagues by providing actionable advice on a wide range of high-impact, complex and developing legal and business issues related to privacy, including GDPR and CCPA, and the sale, distribution, licensing or marketing of search, display and native advertising services or content. Collaborate with ads engineering legal teams to ensure alignment across the sales, partnership, and distribution channels. Draft and negotiate transactional documents, including complex agreements related to strategic advertising, retail and AdTech partnerships involving sales, distribution, data, licensing or the marketing of search, display and native advertising services or content. Develop and implement processes, templates and best practices and share knowledge across the SAN CELA community. Identify and anticipate legal and other risks (e.g., privacy, regulatory, reputational, etc.) in client's business, technology, and/or public policy, and develop creative solutions and alternatives to mitigate future risk. Collaborate with CELA, across internal groups, senior management, and senior-level business leaders, to help analyze and simplify complex/multi-dimensional legal and regulatory issues and implement resulting business and legal strategies. Lead cross-group meetings and projects across internal groups.
Qualifications; A J.D. or equivalent from an ABA accredited law school, an active license to practice law, and at least 7 years as a practicing commercial/business attorney or equivalent experience. Significant experience drafting and negotiating a broad variety of complex transactional agreements. Significant experience supporting search, display and/or native advertising, and providing guidance on privacy laws, including GDPR and CCPA. Outstanding analytical, organizational, writing, and oral communication skills, as well as a strong record of effective cross-group collaboration in a diverse and matrixed environment. Sound and practical business judgment, an ability to think strategically and a desire to establish a trusted advisor relationship with senior level clients. Confident self-starter who is effective at driving strategic cross-group projects, collaborating well with colleagues and a great team player. Demonstrated ability to work independently and efficiently, meet demanding deadlines, prioritize workflow, and adjust to frequent workload fluctuations in a fast-paced environment and across geographies and inter-departmental teams. Experience supporting business development is a plus.
