Corporate Counsel Responsibilities: Counsel on all contract matters with responsibility for negotiating, drafting, and managing material contracts for a public company under SEC rules; services as a software (SAAS) agreements; license agreements; and commercial agreements under the Uniform Commercial Code (UCC). Apply innovative, problem-solving skills and practical business judgment to manage risk. Conduct research, perform special projects, and advise on other topics, such as corporate governance, public company issues, ESG/sustainability work, consumer warranties, or insurance, as needed. Key Performance Indicators. Timely review, negotiation, and drafting of contracts, ensuring compliance and meeting deadlines set by the review process and relevant business units. Ability to influence the company's business partners and drive appropriate risk assessment. Collaborate with cross-functional partners on contract lifecycle, including IT security vetting, onboarding vendors, contract maintenance, and end-of-life processes. Establish and maintain effective working relationships at all levels of the organization. Compliance with state and federal rules and regulations that impact the business. Quick yet thoughtful responses to inquiries from business partners.
Requirements: JD Degree is required. Member of the MN Bar. 5+ years experience practicing law, with a focus on contracts. Experience with SAAS agreements or UCC, both preferred. Law firm experience a plus. Strong analytical skills and attention to detail. Ability to work on multiple projects at the same time and in a dynamic, growth-oriented environment. Excellent communication skills, both verbal and written, including legal and business writing. Excellent interpersonal skills and ability to interact with a range of personalities and styles and establish effective relationships within all levels of the organization. Strong leadership and influencing skills. Clear thinker with ability to quickly identify root causes of problems and develop creative and strategic solutions. Adaptable and collaborative style, including demonstrated ability to manage changing priorities. Self-motivated with a dedicated work ethic. Experience with software subscription agreements, consumer warranties, insurance, and supply chain compliance (i.e., Foreign Corrupt Practices Act, vendor code of conduct, etc.) a plus. Experience with corporate governance, public company work, or cross functional ESG/sustainability initiatives a plus.
