Corporate Counsel Duties: Drafting and negotiating commercial agreements. Advising business leaders on a wide variety of topics, including business and compliance matters, risk, Customer and vendor relationships, dispute resolution, retail sales, and service. Integrating and collaborating with business stakeholders to understand objectives. Proactively making decisions, exercising professional judgment and discretion to meet business and legal Requirements in unique or complex circumstances. Handling high volume, multiple matters simultaneously. Managing outside counsel as needed.
Qualifications: JD degree from an ABA accredited law school or an equivalent legal education from a foreign jurisdiction; admitted to practice law in at least one state or otherwise meet the qualifications and be registered as a foreign legal consultant in state of residence. Must be willing to become licensed and/or registered, as applicable, in MN within 1 year. 5+ years of demonstrated work experience providing legal advice on complex commercial contracts, whether at a law firm, as corporate counsel, or in an equivalent role. Retail experience. Experience with drafting and negotiating goods for resale or merchandising agreements. Experience with drafting and negotiating telecom or similar technology agreements. Experience working with cross functional partners and to develop solutions and to provide legal advice on contracts and business initiatives. Advertising, Media and Intellectual Property. Experience with consumer protection matters (FTC Section 5/UDAP). Experience with advertising regulation, including email, telemarketing and Lanham Act. Experience with drafting and negotiating advertising, creative services, media, ad technology (IT/SaaS) agreements. Experience with ad technology. Experience drafting and negotiating SAAS Agreements, Software License and Maintenance Agreements, Service Agreements and Hardware Lease and Purchase Agreements. Experience advising business leaders on a wide variety of topics, including intellectual property questions, liability caps, warranty provisions and indemnification obligations. Familiarity with current data privacy and data security concepts and regulations. Experience working as part of a team with cross functional partners and subject matter experts, in areas such as risk management, tax and internal audit in order to provide legal advice on contracts and business initiatives. Drafting and negotiating agreements within Technology. Ability to valuate complex situations using multiple information sources and provide practical advice on technical matters and business operations. Ability to quickly develop and maintain relationships and rapport with business owners and cross-functional partners that help facilitate transactions and ongoing operations. Use communication and diplomacy skills required to direct, persuade, and influence clients and cross-functional partners. Operate in a fast-moving environment with minimal supervision on critical enterprise projects. Preferred Qualifications: Advertising, Media and Intellectual Property experience. Goods for Resale, merchandising or retail experience.
