Corporate Counsel Duties: Providing advice and assistance on laws governing residential mortgage lending and real estate-related services generally (including RESPA, FHA, ECOA, UDAAP, TILA, and state licensing and regulation of business lines). Developing company policies and programs; advising management on emerging issues. Conducting regulatory-compliance reviews of operating companies and acquisition targets. Drafting and review of corporate-governance documents. Collaborating with subsidiary executives and counsel, outside counsel, and internal management. Structuring, negotiating, and drafting complex commercial agreements.
Requirements: JD Degree from an ABA-accredited law school. 5+ years practicing law. Must be admitted to practice in Minnesota. Self-starter personality, with initiative and resilience; strong project-management skills preferred. Ability to present information and reports timely, clearly, and concisely. Well-developed judgment and problem-solving skills. Client-service orientation.
