Corporate Counsel The candidate will partner with the business team on a broad range of commercial and regulatory matters, including structuring, drafting and negotiating commercial transactions. As Corporate Counsel, will work directly with the business, serving as lead counsel on strategic deals, providing day-to-day advice, and resolving issues that arise in existing commercial relationships. Principal duties include structuring, drafting and negotiating complicated technology, distribution, licensing, marketing, production services and other commercial agreements; providing ongoing legal counseling in a wide range of legal areas, including intellectual property (e.g., IP clearance), digital media and regulatory compliance; and advising internal business partners and managing outside counsel on legal matters across the technology spectrum. Should have Juris doctor (J.D.) and membership in one state bar or equivalent. Should have 5+ years of legal experience (with several years at a leading law firm or in-house experience). Should have strong transactional and/or technology experience. Must be inquisitive, enthusiastic about technology, enjoy working hard and being continually challenged, and demonstrate sound judgement in ambiguous situations. Previous experience drafting talent agreements, navigating guild issues, entertainment production counseling and licensing is preferred. Ability to work independently while being able to contribute successfully to cross-functional teams is preferred. Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines is preferred. Exceptional analytical and communication skills is preferred. Common sense and a good sense of humor.
