Corporate Counsel Responsibilities: Adheres to Integer Values and all safety, environmental, security and quality requirements including: Quality Management Systems (QMS), Safety, Environmental and Security Management Systems, U.S. Food and Drug Administration (FDA) regulations, company policies and operating procedures, and other regulatory requirements. Provides legal services with respect to drafting, negotiating and reviewing a wide range of commercial contracts, including purchase and supply agreements, professional services agreements (e.g. master services agreements and statements of work), distribution agreements, development agreements and quality agreements related to the production of medical devices. Analyzes and interprets existing company agreements to provide advice and guidance. Advises, educates and counsels internal clients on legal issues, including but not limited to, proposed new products, merger & acquisitions, safeguarding of intellectual property, and compliance issues. Works closely and productively with internal clients, company customers and vendors, and outside counsel as necessary. Identify and implement efficiencies related to use of templates/form agreements and legal processes. Assists in due diligence and integration initiatives regarding merger and acquisition activities. Collaborates with legal department colleagues on a variety of legal and regulatory issues. Provides legal support and advice to support compliance with the Integer's corporate policies. Interprets laws, rulings, and regulations and determine how they apply to Integer. Performs other duties requiring legal research and analysis and/or negotiations as may be requested.

Qualifications: Law degree required. Must be a current member in good standing of a Bar association. 3-5 years of experience with a mid-sized to major law firm and/or in-house legal department as a practicing transactional attorney with a focus on drafting, reviewing, and negotiating a variety of commercial contracts, for example, customer purchase/supply, procurement, professional services, development, real estate and non-disclosure agreements, as well as non-standard agreements, required. Strong background in contract drafting and negotiation. Excellent verbal and written communication and interpersonal skills with ability to communicate effectively with management, internal clients, customers and others. Strong attention to detail. Sound judgment, critical thinking and analytical skills. Ability to work independently while being able to contribute successfully to cross-functional teams. Excellent organizational skills, ability to manage high volume of contracts and multiple projects at once with handle changing priorities, follow through and meet deadlines in a fast-paced environment. Highly responsive, proactive, solutions-oriented approach. Experience in manufacturing a plus. Experience in FDA regulated industry and with Quality Agreements a plus. Experience with a commercial Contract Management System a plus.
