Associate General Counsel -Corporate & Technology Responsibilities: Structure, negotiate, and draft a wide range of technology agreements, including software licenses and SaaS arrangements, and other commercial agreements on an as needed basis, including employment and other professional service agreements, supply and procurement agreements, and joint development, distribution, and outsourcing arrangements. Provide legal advice and support on privacy and data protection-related matters and compliance, including the California Consumer Privacy Act, the New York SHIELD Act, the UK Data Protection Act, and the European Union's General Data Protection Regulation, and maintaining policies and procedures to ensure compliance. Identify and evaluate issues and manage risks. Collaborate with internal clients at all levels to effectively minimize legal risk to the business while supporting and assisting in the achievement of business and strategic objectives. Proactively support the business team in structuring, executing, and concluding commercial transactions. Maintaining current knowledge of relevant legal principles, practices, and trends. Continued adherence to ethical principles, company values, code of conduct, and policies.
Qualifications: JD Degree from an accredited law school. Must be admitted to practice law in New York State. 8+ years of experience, primarily in corporate and technology. Unquestionable ethics and integrity. Experience in technology licensing and other arrangements and data privacy laws. Strong drafting skills. Ability to drive results and offer informed and collaborative solutions. Must possess strong, independent work ethic, resourcefulness, and flexibility. Strong business acumen. Extremely organized, detail-oriented, and efficient. A self-starter, who is accountable for his or her decisions and work product. Ability to work independently and collaboratively, with excellent business judgment and strategic thinking, and a proactive, solution-oriented approach. Superior analytical and writing skills.
