Corporate Legal Counsel 2 Duties: Draft, review, and negotiate a wide range of agreements, including agreements with key customers, suppliers and manufacturing partners. Implementing and maintaining policies and procedures to ensure compliance with applicable industry standards and regulatory requirements, particularly those related to automotive suppliers. Support the business unit in connection with future acquisitions and strategic partnerships. Advise senior management on commercial, compliance and strategic matters. Select, manage and supervise outside counsel to provide support as needed. Resolve business disputes and regulatory inquiries, working with outside counsel. Implementing and maintaining policies and procedures to ensure legal compliance. Drafting and delivering training materials and presentations. Prepare and assist with filing corporate documentation, including the formation, consolidation, and dissolution of corporations, partnerships, and limited liability companies in the United States and foreign countries. Perform such other tasks as necessary, or as assigned by legal department management.
Qualifications: JD Degree from a well-regarded U.S. law school. Member of the Texas State Bar in good standing (or eligible to practice in Texas as registered in-house counsel). 8+ years of related experience. Experience with corporate transactional or commercial contracting at a law firm or in-house is preferred. In-house experience at a global, public technology company, automobile manufacturer or tier one automotive supplier is a plus. Experience using or administering third-party document management systems is preferred. Experience in a global business environment is a plus. Highly skilled in standard office software (MS Office, Excel, PowerPoint, etc.). Fast learner able to grasp new concepts and process information quickly. Excellent oral and written communication skills. Must be able to juggle multiple priorities and tasks in a fast-paced environment. Collaborative team player, with a high attention to detail. Sincere interest in the intersection of business and law.
